Not an attorney just saying what I have read online, if there is a 1 billion dollar backout clause isn't that all you can sue for.

You sue for the most you can so the other party has an incentive to settle before trial or judgment. I am no more a lawyer than you guys ( actually not one lol) but they might be suing for the full purchase price so they get as lose to the $1B contract term agreed to if he was not to close the deal. I think it is actually a suit to force him to buy the deal at $44B which I honestly do not see happening.

I believe it is all about getting s close to the 1 billion as they can, I honestly do not see a judge making him close the deal at $44B. Time will tell how this one plays out.
